Software License Agreement
This Software License Agreement (hereinafter referred to as “Agreement”) is applicable to the Adjustment Tool (hereinafter referred to as “Software”) used with the relevant printer(s) named CP-K60 series (hereinafter referred to as “Printer”) sold by Mitsubishi Electric Corporation (hereinafter referred to as “Mitsubishi Electric”) in Japan and worldwide. This Agreement is between you as a valid owner of the Printer (hereinafter referred to as “You” or “Your”) and Mitsubishi Electric.
The Software means all programs and related documents.
[IMPORTANT] READ THE FOLLOWING BEFORE DOWNLOADING THE SOFTWARE.
PLEASE READ AND UNDERSTAND THIS AGREEMENT CAREFULLY. YOU MUST NOT DOWNLOAD AND USE THE SOFTWARE UNLESS YOU AGREE TO THE AGREEMENT (“use” means decompression, Software execution, use of the Software to adjust the Printer, and use of related documents). BY DOWNLOADING THE SOFTWARE, YOU AGREE TO ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DON’T AGREE WITH ANY TERMS AND CONDITIONS OF THIS AGREEMENT, STOP DOWNLOADING AND USING THE SOFTWARE AND DESTROY THE SOFTWARE AND ALL COPIES OF THE SOFTWARE.
1. Restrictions
You may use the Software to update firmware for the Printer. Please make sure Your printer is applicable to the Software before using it.
You may not de-compile, reverse engineer or disassemble the Software or convert the Software into source code by any other means.
You may not copy, modify, adapt, lease, sell, distribute, or transfer the Software or create any software derived from or any works similar to the Software.
Part of the Software may be licensed under other additional terms and conditions undisclosed herein, but complementary to those of the Agreement.
2. Ownership and Copyright of the Software
Mitsubishi Electric authorizes You to use the Software, provided that You agree to, and abide by all the terms of this Agreement. The ownership rights and patent rights, copyrights, trademark rights, and other intellectual property rights to the Software, including any copies of the Software, are not assigned nor transferred by Your authorize use. They remain solely belonging to Mitsubishi Electric.
The copyright of the Software is fully protected by the laws of Japan and other countries under existing international treaties.
You may not remove or modify any copyright indications from or in the Software. Mitsubishi Electric does not grant You, either expressly or implicitly, a license to any patent rights, copyrights, trademark rights, or other intellectual property rights, unless Mitsubishi Electric agrees to do so expressly in writing.
3. Disclaimer
The Software is provided on an as-is basis.
Mitsubishi Electric does not provide any warranty, either expressly or implicitly, as to the Software, including but not limited to, its customizability, merchantability, potential right infringements, or fitness for a particular purpose.
Mitsubishi Electric does not guarantee nor is it liable for any accuracy or integrity of the information, text, graphics, links, operations, or other items regarding the Software.
Mitsubishi Electric is not responsible for any update or support operations of the Software.
Mitsubishi Electric and its suppliers shall not be held liable to You in any event, for any consequences or damages (incidental, consequential, or special damages, including but not limited to loss of use, revenues or profits, business interruption, or corruption or loss of information) arising from Your use or misuse of the Software, even if advised of the possibility of such consequences or damages.
If update is failed, it may be necessary to repair the Printer.
Mitsubishi Electric is not liable for any claim made by a third party.
Mitsubishi Electric reserves the right to revise the Agreement or the specifications of the Software without prior notice.
4. Termination
This Agreement is effective from the date You download the Software until terminated. You may terminate this Agreement by destruction of the Software and all copies in Your possession. Mitsubishi Electric may terminate this Agreement at any time upon Your breach of the terms of this Agreement. Upon termination of this Agreement, you should immediately stop using the Software, permanently delete it from the Printer where it embedded, and destroy the Software and all copies in Your possession.
5. Others
The Agreement shall be governed by the laws of Japan.
